General Meeting of Setanta Insurance

9th May 2014

At an Extraordinary General Meeting of Setanta Insurance Company Limited (the ''Company'') held on 16th April 2014 it was resolved that the Company surrender its insurance business licence to the Malta Financial Services Authority and be immediately dissolved. Furthermore at a meeting of creditors of the Company held on 30th April 2014 I was appointed as liquidator of the Company.

Take notice that, all policies of insurance issued by or on behalf of the Company will be cancelled by way of 7 days' notice or 10 days' notice to policyholders in accordance with their policy documents. These Notices of cancellation shall be issued within the next seven days. I believe this to be in the best interest of policyholders as it avoids a situation where consumers would continue to drive vehicles insured by the Company in circumstances where their claims are unlikely to be paid in full.

I would urge policyholders to make alternative insurance arrangements without delay. Policyholders may cancel their policies before cancellation by the Company and are advised to do so by notifying their broker in writing immediately.

This notice supercedes all previous Company and third party communications. The notice period will expire, and policies will be cancelled, in accordance with the cancellation notices to be issued to policyholders.

Policyholders and brokers should continue to send correspondence on individual Claims or other claims matters to the Company at:

Active Setanta Insurance Policies

For your peace of mind, Hastings has managed to extend short term contingency cover on active Setanta policies until 23:59hrs on 07/05/14 with an alternative insurer. Unfortunately, no further extensions will be available from the alternative insurer.

Therefore, we are asking all current Setanta policy holders to contact or visit your local Hastings branch as soon as possible to arrange alternative cover.

Re: Your Setanta Insurance Policy

As you are aware Hastings Insurance Brokers act as your Insurance Broker for your Setanta Insurance Policy. We have been advised by the Central Bank of Ireland that Setanta Insurance Limited (Setanta) has gone into liquidation with effect from 16th April 2014. You will receive a letter directly from Setanta in the coming days notifying you that your policy is to be cancelled and advising you to make alternative arrangements. Please see the statement from the Central Bank shown below.

For your peace of mind, Hastings has managed to put in place short term contingency cover effective from 1200hrs 17/04/14 to 2359hrs on 29/04/14 with an alternative insurer. We will in the course of the coming days make every effort to contact you by phone to discuss this but you can of course contact your local Hastings Westport branch in the meantime.

It is necessary that we draw your attention to the present position in relation to Setanta. This company is now in liquidation and it may not be in a position to meet any or all of its claims should they arise. Claims will be dealt with in the relevant liquidation process. As Setanta is now in liquidation it is not in a position to guarantee pro rata returns of premiums that may be due. Funds held by Setanta, may be placed in the hands of the liquidator to be distributed in accordance with the law.

Frequently Asked Questions

1. What implications does the liquidation have on my motor insurance policy and claim?

Setanta Insurance Company Limited ('the Company') is a company that was licensed in Malta by the Malta Financial Services Authority ('MFSA'). It had been authorised to provide insurance business in Ireland under the Freedom of Services in terms of EU law. The Company ceased carrying on business of insurance, including the renewal of existing business, in terms of the Insurance Business Act with effect from close of business of 24 January 2014. On Wednesday 16 April 2014, Setanta's Board of Directors determined that the Company is insolvent. This means that the Company does not have sufficient funds to be able to honour its full obligations towards claimants, policyholders and other creditors. The Company has been dissolved for all intents and purposes of law and a liquidator has been nominated by the shareholders of the Company.

2. Who has been appointed as the Company's liquidator?

The Company's Shareholders have nominated Dr Louis Cassar Pullicino of 171, Old Bakery Street, Valletta, Malta, to act as liquidator. A meeting of creditors in terms of the Companies Act, 1995 will be convened on 30 April 2014 wherein the creditors may either ratify the nomination of Dr Louis Cassar Pullicino or appoint another person to act as liquidator. The appointment of the liquidator is subject to further approval by the MFSA.

3. I have an insurance policy with Setanta. Is my policy still valid?

Existing policies are still in force, but full payments of claims by the Company cannot be guaranteed. The Company may cancel your motor insurance policy, however cancellation notification as applicable in terms of the Central Bank of Ireland's Consumer Protection Code 2012 provides for a two months' notice of cancellation during which period cover will remain in force.

Policyholders may wish to consider their right to cancel their policy and seek alternative insurance coverage. It is therefore important that you review your position with regard to your insurance cover.

4. If I cancel my policy, will I have a right to a refund of premium?

Irrespective of whether the cancellation is made by the Company or the policyholder, the Company is not in a position to guarantee pro rata return of premiums.

5. What will happen if I have a claim?

The Company is not in a position to guarantee that claims will be met in full since all claims will be subject to the relevant liquidation process. More information will be provided by the liquidator in due course.

6. What will happen to those claims which have occurred but have not as yet been reported to the Company?

Until the formal appointment of the liquidator, Heritage Insurance Management (Malta) Limited will continue to manage the run-off and Setanta Insurance Services Limited will continue to manage the claims. Following the appointment of the liquidator, any claims would need to be lodged to the liquidator and will be subject to the relevant liquidation process which may result in such claims not being met in full. More information will be provided by the liquidator in due course.

7. When should we expect to receive payment in regard to valid claims lodged with the company?

All payments of claims are currently suspended and payments may only be made after the liquidator has determined all the liabilities of the Company. This exercise is likely to take considerable time.

8. Who should policyholders and claimants contact in case of a query?

Until the formal appointment of the liquidator, Heritage Insurance Management (Malta) Limited will continue to manage the run-off and Setanta Insurance Services Limited will continue to manage the claims. Following the appointment of the liquidator, the liquidator's role will also be that of informing claimants about the progress of their claim.

9. Under what circumstances will the Insurance Compensation Fund become operative?

The Irish Insurance Compensation Fund is provided for under the Insurance Act 1964. The Insurance Act 1964 makes provision for the payment of claims of Irish policyholders of insurance companies authorised in Ireland or in other EEA member states that are in liquidation. 10. I have a pending complaint with the Company which was submitted prior to the Liquidation Notice having been issued in regard to a claim which has been rejected, what will happen to it?

Until the formal appointment of the liquidator, Heritage Insurance Management (Malta) Limited will continue to manage the run-off and Setanta Insurance Services Limited will continue to manage the claims.

Central Bank of Ireland Statement on Setanta Insurance Limited

Setanta Insurance Limited (Setanta) is a Maltese incorporated company subject to prudential supervision in Malta by the Maltese Financial Services Authority (MFSA). Its financial position is not supervised by the Central Bank of Ireland and the Central Bank has no role in that regard.

The Central Bank of Ireland was notified by the MFSA on 16 April that the shareholders of Setanta have resolved to wind up the company. This is a process that will take place in Malta overseen by the MFSA.

The Central Bank will require Setanta to write to all policyholders to advise them of the situation and its implications for them.

Setanta is not in a position to confirm that claims will be met in full since any and all claims will be subject to the relevant liquidation process. Policyholders should therefore make arrangements for alternative cover without delay.

Setanta Insurance Company Limited

Having reviewed its most updated financial position and reached a conclusion that a solvent run-off is no longer possible, Setanta Insurance Company Limited ("the Company") registration number C41670 hereby gives notice that during an Extraordinary General Meeting of its members held on 16 April 2014 it was resolved that:

1. The Company surrenders its insurance business licence to the Malta Financial Services Authority ("MFSA").
2. The Company is immediately dissolved for all effects and purposes of law.
3. Upon its dissolution the Company shall cease to carry on its business except as far as may be required for the beneficial winding up thereof.
4. Dr Louis Cassar Pullicino holder of Maltese ID No. 441061(M), of 171, Old Bakery Street, Valletta, Malta, is nominated as liquidator of the Company.
5. The liquidation process adopted will follow the procedures required for a creditors' voluntary winding up and accordingly the Board of Directors will call a meeting of creditors in terms of Article 278 of the Companies Act, 1995 to be convened on 30 April 2014 wherein the creditors may either ratify the nomination of Dr Louis Cassar Pullicino or appoint another person to act as liquidator.

The appointment of the liquidator is subject to further approval by the MFSA. Until the appointment of the liquidator, Heritage Insurance Management (Malta) Limited will continue to manage the run-off and Setanta Insurance Services Limited will continue to manage the claims.

Policyholders will be given cancellation notification as applicable in accordance with the Central Bank of Ireland's Consumer Protection Code 2012 during which period cover will remain in force.

The Company is however not in a position to confirm that claims in this interim period will be met in full since any and all claims will be subject to the relevant liquidation process.

Policyholders may wish to consider their right to cancel their policy and seek alternative coverage. Irrespective of whether the cancellation is made by the Company or the policyholder, the Company is not in a position to guarantee pro rata return of premiums.

Once the liquidator's appointment is confirmed, all claims and liabilities will be processed according to the applicable law which process may result in such claims not being met in full. All payments have been suspended until further notice.

It is with sincere regret that we have to inform you that Setanta Insurance Company Limited has ceased writing new business and issuing further renewals with effect from close of business Friday 24 January 2014. The company has appointed Heritage Insurance Management (Malta) Limited to undertake the run-off process and has advised the Malta Financial Services Authority accordingly.

The offices of Setanta Insurance Services Limited in Dublin will remain open to handle all existing and any future claims arising from time on risk and also assist with any queries you may have in relation to this development. Setanta Insurance Services Limited contact details remain the same and you can communicate with them in the usual way.

As indicated above, Setanta Insurance Services Limited will not be inviting renewal however it will maintain cover on all existing policies to expiry of their current term. Renewal pack documentaion will be issued in the normal way to ensure that you receive the necessary policyholder documents to allow you to re-broke these policies and place them with an alternative insurance provider.

Mid-term alterations on existing policies will be handled as normal, subject to standard Setanta Insurance Company acceptance criteria.

It is neseccary in accordance with the law, that policy holder who hold a policy with Setanta Insurance Services Limited are advised accordingly and in this respect attached is a communication which you are asked to send to every policy holder on your books.

The climb, which honoured the memory of David Mc Dermott took place in July and saw over 180 people take to the hills to raise money for the Irish Cancer Society. Congratulations to all involved as €25,000 was raised for the Charity!!!

The Insurance Institute and the young IBA committee played a pivotal role in the success of the climb, the organisational work put it on the day and the fundraising efforts afterwards ensured that the target of €20,000 for the Irish Cancer Society was exceeded!

Retired farmer Michael McHugh celebrated a remarkable anniversary last week 50 years consecutive claim free driving with Zurich through Hastings Insurance Brokers. This noteworthy milestone was marked with a presentation and celebration in Hastings Claremorris office with Michael and Teresa McHugh from Ruane, Knock.

Michael and Teresa, who celebrated their own golden wedding anniversary two years ago, remember all their cars well and fondly recalled one in particular, a classic Morris Minor from the 1960s. At that time Teresa was raising their two children while Michael, like so many other Mayo men, worked away from home in England. They’ve worked their way through a fair few cars since, with an exemplary safety record along the way. Their current car, a Nissan, is of special significance to them as it belonged to their beloved son Paul who died following an illness four years ago.

Enda Mulchrone (General Manager, Hastings Insurance Brokers) and Michael Gough (Broker Development Executive, Zurich) presented a lovely piece of engraved Mayo Crystal to Michael McHugh to mark this very special occasion. Speaking at the presentation, Michael Gough congratulated Michael McHugh saying, “We would like to take this opportunity to thank you for your longstanding custom and we wish you every success in the future.” The crystal presentation piece is engraved with the words, “Presented to Mr Michael McHugh by Hastings Insurance and Zurich Insurance to mark 50 years consecutive motor insurance. A valued customer.”

Speaking for Hastings Insurance Brokers, Enda Mulchrone said, “We are delighted to have been dealing with Michael and Teresa for so many years. We really appreciate their loyalty and they are genuinely a pleasure to deal with in every way.”

Branch Manager Dymphna Killeen and all the staff at Hastings Claremorris branch were delighted to join in ithe celebrations to mark this wonderful occasion with Michael and Teresa.

The beaming couple were welcomed to Hastings Insurance Claremorris office where both they (and a few other surprised customers) enjoyed a slice of celebration cake and other refreshments.
